End User License Agreement (EULA)

for Maxfield Bakery Order Management System (MBOMS)

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and Maxfield Bakery ("Company", "We", "Us", or "Our"), a company located in Kingston, Jamaica, for the use of the Maxfield Bakery Order Management System (MBOMS) software and any associated services, features, content, and documentation (collectively, the "Software").

By accessing, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not access, install, or use the Software.

1. License Grant

Subject to your compliance with the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software for your internal business purposes of managing orders with Maxfield Bakery.

2. Restrictions on Use

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers, or the licensors of the Software.
  • Use the Software for any fraudulent, illegal, or unauthorized purpose.

3. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is, and shall remain, the sole and exclusive property of Maxfield Bakery. This EULA does not grant you any rights to the Company's trademarks or service marks.

4. QuickBooks Integration

The Software may include features that allow you to connect your MBOMS account with your Intuit QuickBooks account ("QuickBooks Integration"). By using the QuickBooks Integration, you grant the Software permission to access your QuickBooks data as necessary to provide the integration features. The Software will only access and use your QuickBooks data in accordance with our Privacy Policy and for the purpose of fulfilling its service obligations. The Company is not responsible for any data loss or security issues arising from your use of QuickBooks.

5. User Data and Privacy

Your use of the Software is subject to our Privacy Policy, which is incorporated by reference into this EULA. The Privacy Policy explains how we collect, use, and protect your personal and business information. By using the Software, you consent to the collection and use of your information as described in the Privacy Policy.

6. Term and Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice from the Company if you fail to comply with any term(s) of this EULA. Upon termination, you shall cease all use of the Software.

The Company reserves the right to suspend, discontinue, or modify the Software, or any part of it, at any time with or without notice.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SOFTWARE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law principles.
